Understanding Business

A Private Company Doesn't Need to Be a Huge Business

The word "company" can make people imagine large corporations, but a South African private company can be a very small operation, used by entrepreneurs, family businesses, consultants and contractors — its size doesn't determine its legal status.

Entrepreneurs sometimes assume that registering a company is only appropriate once a business becomes large. The decision should instead be based on factors such as the nature of the business, liability considerations, ownership, tax and administrative requirements.

Frequently Asked Questions

Yes, South African company law allows a private company to have a single shareholder and director, subject to the applicable requirements.

No — a company is a legal structure, not a business model.

Should every small business register as a company?

Not necessarily — the appropriate structure depends on the entrepreneur's circumstances and should be considered carefully.
